REDEMPTION OF SENIOR NOTES DUE 2022

ReferenceismadetotheannouncementofChinaWaterAffairsGroupLimited(the“Company”)dated25January2017(the“Announcement”)in relation to the issuance of5.25% senior notesdue 2022 (the “2017 Notes”). Unless otherwise defined, capitalizedterms used herein shallhave the same meaningsas definedintheAnnouncement.

Pursuanttothetermsoftheindenturedatedasof7February2017(asamendedorsupplementedfrom time to time), among the Company, the entities set forth in ScheduleItheretoasSubsidiaryGuarantorsandCiticorpInternational LimitedasTrustee(the“Trustee”),enteredintoinconnectionwiththeissuanceofthe2017Notes,the Companyannouncestodaythatithasinformed the Trustee and holders of the 2017 Notes that an aggregate principal amount ofUS$150,000,000 of the outstanding 2017 Notes will be redeemed on 21 June 2021 (the“RedemptionDate”)at a redemption price equalto101.3125% of the principal amount thereof,plusaccrued andunpaidinterest,ifany, to(but notincluding)the Redemption Date(the“PartialRedemption”).

As of the date of this announcement, the outstanding principal amount of the 2017 Notes isUS$300,000,000.UponcompletionofthePartialRedemption,theoutstandingprincipalamountofthe2017NoteswillbeUS$150,000,000,assumingthattheCompanydoesnototherwiseredeemorrepurchase any of the outstanding 2017 Notes during the period from the date hereof to theRedemptionDateotherthanthePartialRedemption.TheCompanywillsatisfythepaymentofthePartialRedemptionusing the proceedsfromtheissuanceof 4.85%senior notesdue2026anditsinternalresources.

UponthePartialRedemption,alltheredeemed2017Noteswillbecancelled.
