PINKFORMOFOPTIONOFFERACCEPTANCEANDCANCELLATIONOFOPTIONS

1. MyexecutionofthisPINKFormofOptionOfferAcceptanceshal bebindingonmysuccessorsandassignees,andshal constitute:

(a) myirrevocableacceptanceoftheOptionOffermadebySomerleyonbehalfoftheOfferor,ascontainedintheCompositeDocument,fortheconsiderationandonandsubjecttothetermsandconditionsthereinandhereinmentioned,inrespectofthenumberofOptionsspecifiedinthisPINKFormofOptionOfferAcceptance;

(b) myirrevocableinstructionandauthoritytoeachoftheOfferor,Somerleyand/ortheirrespectiveagent(s)todeliverachequecrossed“Notnegotiable—accountpayeeonly”drawninmyfavourforthecashconsiderationtowhichIshal becomeentitledunderthetermsoftheOptionOfferformycol ectionattheofficeoftheCompanyatRoom3902,39thFloor,TowerOne,LippoCentre,No.89Queensway,HongKongwithinseven(7)BusinessDaysafterthedateofreceiptofthiscompletedPINKFormofOptionOfferAcceptancetogetherwithal therelevantdocument(s)bythecompanysecretaryoftheCompanytorendertheacceptance,surrenderandcancel ationundertheOptionOffervalid;

(c) myundertakingtoexecutesuchfurtherdocumentsandtodosuchactsandthingsbywayoffurtherassuranceasmaybenecessaryordesirabletocancelmyOption(s)surrenderedforcancel ationundertheOptionOffer;

(d) myagreementtoratifyeachandeveryactorthingwhichmaybedoneoreffectedbytheOfferor,theCompanyand/orSomerleyand/ortheirrespectiveagent(s)orsuchpersonorpersonsasanyofthemmaydirectontheexerciseofanyoftheauthoritiescontainedherein;and

(e) myirrevocableinstructionandauthoritytoeachoftheOfferor,Somerleyand/orsuchpersonorpersonsasanyofthemmaydirecttocomplete,amendandexecuteanydocumentsonmybehalfinconnectionwithmyacceptanceoftheOptionOfferandtodoanyotheractthatmaybenecessaryorexpedientforthepurposeofcancel ingmyOption(s)surrenderedforcancel ationundertheOptionOffer.

2. IunderstandthatacceptanceoftheOptionOfferbymewil resultinthecancel ationofthoserelevantOptions,togetherwithal rightsat achingthereto.

3. IntheeventthatmyacceptanceisnotvalidinaccordancewiththetermsoftheOptionOffer,al instructions,authorisationsandundertakingscontainedinparagraph1aboveshal cease,inwhichevent,IauthoriseandrequestyoutoreturntomethisPINKFormofOptionOfferAcceptancedulycancel ed,togetherwiththerelevantcertificate(s),document(s)oftitleorentitlementinrespectoftheOptionsand/oranyotherdocument(s)(ifapplicable)evidencingthegrantoftheOptionstome(and/oranysatisfactoryindemnityorindemnitiesrequiredinrespectthereof),bydeliveringtotheofficeoftheCompanyinHongKongattheaddressstatedin1(b)aboveformycol ection.

Ienclosetherelevantcertificate(s),document(s)oftitleorentitlementinrespectoftheOptionsand/oranyotherdocument(s)(ifapplicable)evidencingthegrantoftheOptionstome(and/oranysatisfactoryindemnityorindemnitiesrequiredinrespectthereof)forthewhole/partofmyholdingofOption(s)whichis/aresurrenderedforcancel ationonthetermsandconditionsoftheOptionOffer.Iunderstandthatnoacknowledgementofreceiptofanyform(s)ofacceptanceand/ortherelevantcertificate(s),document(s)oftitleorentitlementinrespectoftheOptionsand/oranyotherdocument(s)(ifapplicable)evidencingthegrantoftheOptionstome(and/oranysatisfactoryindemnityorindemnitiesrequiredinrespectthereof)wil begiven.

5. IrepresentandwarranttotheOfferor,theCompanyandSomerleythatIamtheregisteredholderofthenumberofOption(s)specifiedinthisPINKFormofOptionOfferAcceptanceandIhavetheful right,powerandauthoritytosurrendertheOption(s)forcancel ationbywayofacceptanceoftheOptionOffer.

6. IrepresentandwarranttotheOfferor,theCompanyandtheirrespectiveadvisers,includingSomerley,thefinancialadvisertoOfferorinrespectoftheOffers,thatIhaveobservedandampermit edunderal applicablelawsandregulationstowhichIamsubjecttoreceiveandaccepttheOptionOffer,andanyrevisionthereof;andthatIhaveobtainedal requisitegovernmental,exchangecontrolorotherconsentsandmadeal registrationsorfilingsrequiredincompliancewithal necessaryformalitiesandregulatoryorlegalrequirements;andthatIhavepaidal issue,transferorothertaxesorotherrequiredpaymentsduefrommeinconnectionwithsuchacceptance,surrenderandcancel ationinanyjurisdiction;andIhavenottakenoromit edtotakeanyactionwhichwil ormayresultintheOfferor,theCompanyorSomerleyoranyotherpersonactinginbreachofthelegalorregulatoryrequirementsofanyjurisdictioninconnectionwiththeOptionOfferormyacceptancethereofandthatsuchacceptance,surrenderandcancel ationshal bevalidandbindinginaccordancewithal applicablelawsandregulations.

7. IrepresentandwarranttotheOfferor,theCompanyandSomerleythatIshal beful yresponsibleforthepaymentofanyissue,transferorothertaxes,dutiesandotherrequiredpaymentspayablebymeinconnectionwithmyacceptance,surrenderand/orcancel ationoftheOptionOffer.

8. Iacknowledgethat,saveasexpresslyprovidedintheCompositeDocumentandthisPINKFormofOptionOfferAcceptanceandaspermit edundertheTakeoversCode,al acceptances,instructions,authorisationsandundertakingsherebygivenshal beirrevocable.

本粉紅色購股權收購建議接納表格之填寫方法

購股權收購建議屬無條件。 閣下如欲接納新百利代表收購方所作的購股權收購建議， 閣下必須將已填妥及簽署的粉紅色購股權收購建議接納表格連同就 閣下所持有之購股權或（如適用）不少於 閣下擬接納購股權收購建議的購股權數目的有關購股權證書、所有權或權益文件，及╱或 閣下獲授購股權之任何其他證明文件（如適用）（及╱或就此所需任何令人信納之一份或多份彌償保證書），以郵寄或專人送交之方式盡快送抵盛洋投資（控股）有限公司公司秘書收，地址為香港金鐘道89號力寶中心一座39樓3902室，信封面註明「盛洋投資（控股）有限公司，購股權收購建議」以送達本公司公司秘書，惟無論如何不得遲於二零二零年十二月三十一日（星期四)（即截止日期）下午四時正，或收購方根據收購守則可能釐定及公佈之較後時間及╱或日期。

購股權之粉紅色購股權收購建議接納及註銷表格

致：收購方及新百利

1. 本人簽立本粉紅色購股權收購建議接納表格將對本人的繼承人及受讓人有約束力，並表示：

(a) 本人不可撤回地接納由新百利代表收購方提出並載於綜合文件的購股權收購建議以收取代價，並按綜合文件及本表格所載有關條款及條件收購本粉紅色購股權收購建議接納表格上所列明之購股權數目；

(b) 本人不可撤回地指示並授權收購方、新百利及╱或彼等各自的代理人，將本人根據購股權收購建議的條款應得的現金代價以「不得轉讓— 只准入抬頭人賬戶」方式向本人交付劃線支票，於本公司公司秘書接獲已填妥之本粉紅色購股權收購建議接納表格連同一切有關文件致使購股權收購建議項下之接納、交回及註銷為有效之日後七(7)個營業日內，寄發至本公司的香港辦事處（地址為香港金鐘道89號力寶中心一座39樓3902室）以供本人領取；

(c) 本人承諾於必需或適當時簽立其他文件並作出其他行動及事宜，以進一步確保註銷本人根據購股權收購建議交回以供註銷之購股權；

(d) 本人同意追認收購方、本公司及╱或新百利及╱或彼等各自的代理人或彼等任何一方可能指示的一名或多名人士於行使本表格所載的任何授權時可作出或進行的任何行動或事宜；及

(e) 本人不可撤回地指示及授權收購方、新百利及╱或彼等任何一方可能指派的該名或該等人士，各自代表本人填妥、修改及簽立任何有關本人接納購股權收購建議的文件，並採取任何其他可能屬必要或權宜的行動，以便根據購股權收購建議註銷本人所交回以供註銷的購股權。

2. 本人明白，本人接納購股權收購建議將導致該等相關購股權及其所附帶的一切權利被註銷。

3. 如按購股權收購建議的條款本人的接納為無效，則上文第1段所載的所有指示、授權及承諾均會失效。在此情況下，本人授權並要求 閣下將本人已正式註銷的本粉紅色購股權收購建議接納表格連同購股權之有關證書、所有權或權益文件及╱或本人獲授購股權之任何其他證明文件（如適用）（及╱或就此所需任何令人信納之一份或多份彌償保證書）按上文第1(b)段所列地址寄予本公司的香港辦事處以供本人領取。

4. 本人茲附上本人所持全部╱部份購股權之有關購股權證書、所有權或權益文件，及╱或本人獲授購股權之任何其他證明文件（如適用）（及╱或就此所需任何令人信納之一份或多份彌償保證書），交回 閣下按照購股權收購建議之條款及條件以供註銷。本人明白將不會就任何接納表格及╱或有關購股權證書、所有權或權益文件，及╱或本人獲授購股權之任何其他證明文件（如適用）（及╱或就此所需任何令人信納之一份或多份彌償保證書）獲發收訖通知書。

5. 本人向收購方、本公司及新百利聲明及保證，本人為本粉紅色購股權收購建議接納表格所列明購股權數目的登記持有人，而本人有全部的權利、權力及權限透過接納購股權收購建議交回該等購股權以供註銷。

6. 本人向收購方、本公司及其各自之顧問，包括新百利（收購方關於收購建議之財務顧問），聲明及保證，本人已遵守本人須遵守之所有適用法例及法規以及根據本人須遵守之所有適用法例及法規獲允許接收及接納購股權收購建議及其任何修訂；而本人已取得所有所需政府、外匯管制或其他方面之同意，及作出所有必要手續及遵守監管或法律規定所規定之一切登記或存檔；且本人已於任何司法權區支付本人就該接納、交回及註銷應付之所有發行、轉讓或其他稅項或其他所需付款；而本人並無採取或遺漏採取任何行動而將會或可能致使收購方、本公司或新百利或任何其他人士違反任何司法權區有關購股權收購建議或本人接納購股權收購建議之法律或監管規定，及有關接納、交回及註銷將根據一切適用法例及法規屬有效及具約束力。

以履行其對購股權持有人及╱或適用法規項下之責任，以及購股權持有人可
