  中国国际经济贸易仲裁委员会(英文缩写CIETAC,同时称中国国际商会仲裁院,以下简称贸仲委)是附设在中国国际商会/中国国际贸易促进委员会下以仲裁的方式解决契约性和非契约性争议的常设仲裁机构。1954年经中央人民政府政务院批准,于1956年在北京设立,当时是中国唯一受理涉外商事争议的仲裁机构。1987年,中国成为联合国《承认与执行外国仲裁裁决公约》缔约国,中国政府这一重大举措极大地促进了中国涉外仲裁的发展,使中国涉外仲裁登上了国际商事仲裁的大舞台。在中国市场经济发展初期和对外开放不断深入的经济环

境下,贸仲委肩负着促进对外贸易发展,吸引、鼓励、保护外商到中国投资,解决对外贸易纠纷的重任,是对外开放的重要的法律服务窗口,仲裁业务发展迅速,国际地位日益提高,国际影响与日俱增,并逐步成为国际上知名的仲裁机构之一。

  贸仲委五十年的仲裁实践积累了丰富的经验,并不断地完善前进,日益现代化、国际化。从1990年起,贸仲委年受案量在世界知名仲裁机构中名列前茅。在1995年仲裁法实施前,中国所有的涉外经贸仲裁案件均由贸仲委受理,仲裁法颁布后,绝大多数的涉外案件仍然由当事人提交贸仲委审理并裁决。2000年贸仲委修订了仲裁规则,开始受理国内经贸争议,国内仲裁案件增幅较大。到2003年为止,贸仲委已经成功地受理并审结了8000余例涉外仲裁案件,近千件国内仲裁案件。案件当事人遍及世界40多个国家和地区,仲裁裁决可在世界140多个国家和地区得到承认和执行,仲裁的公正性得到了普遍认可。

  1.贸仲委机构设置和职能

  贸仲委在组织机构上实行委员会制度,设主任一人,副主任若干人,委员若干人;秘书长一人,副秘书长若干人。主任履行仲裁规则赋予的职责,副主任受主任的委托可以履行主任的职责。贸仲委现任主任由中国国际商会会长、中国国际贸易促进委员会会长万季飞兼任,秘书长由王生长博士担任,秘书长负责处理仲裁委员会的日常事务。

  贸仲委下设三个专门委员会:专家咨询委员会负责仲裁程序和实体上的重大疑难问题的研究和提供咨询意见;案例编辑委员会负责已审理终结案件的案例编辑工作;资格审查考核委员会负责对仲裁员的资格和表现进行审查和考核,提出续聘和解聘的建议。

  贸仲委总会设在北京,在上海和深圳设立了两个分会,总会与分会设立统一的仲裁员名册,使用统一的仲裁规则。贸仲委北京总会和深圳分会、上海分会是一个统一的整体。

  贸仲委设立域名争议解决中心和亚洲域名争议解决中心,负责解决各种域名争议。

  贸仲委与中国粮食行业协会、贸促会粮食行业分会联合成立了粮食争议仲裁中心,以仲裁的方式解决粮食行业发生的一切争议。

  贸仲委在当地贸促分会内附设了大连、长沙、重庆、成都、福州等五个办事处,在贸促会北京市分会内附设了联络处,各办事处和联络处均是贸仲委的仲裁专业联络和宣传机构,向当事人提供仲裁宣传、程序咨询、转交仲裁申请书等服务。

  2.仲裁规则

  2000年10月1日,贸仲委颁布实施了第六套《仲裁规则》,该仲裁规则分为“总则”、“仲裁程序”、“简易程序”、“国内仲裁的特别规定”和“附则”五章共91条。争议金额超过人民币50万元的案件适用普通程序;争议金额不超过人民币50万元的案件适用简易程序。但是双方另有约定的,应按约定适用普通程序或简易程序。

  当事人约定适用其他仲裁规则的,可以适用。但须经贸仲委同意。

  2003年5月8日,贸仲委颁布实施了《金融争议仲裁规则》,该规则分为“总则”、“仲裁程序”、“裁决”和“附则”四章28条。规则规定,双方当事人可以约定由一名或三名仲裁员组成仲裁庭;在仲裁过程中,仲裁庭可以发布程序令、发出问题单、举行庭审前会议、召开预备庭等;作出裁决的期限在仲裁庭组成之日起45个工作日内,除非当事人另有约定或本案确有正当理由延期外。适用《金融争议仲裁规则》的案件,其仲裁费比普通仲裁案件的仲裁费降低了50%左右。

  中国(.CN)域名争议适用《中国互联网信息中心域名争议解决办法》、《中国互联网信息中心域名争议解决办法程序规则》及其《补充规则》;通用网址(Keyword)争议适用《通用网址争议解决办法》和《通用网址争议解决程序规则》;通用顶级域名(gTLDs)争议适用《统一域名争议解决解决政策》、《统一域名争议解决政策之规则》及其《补充规则》。

  3.贸仲委业务范围

  根据《中国国际经济贸易仲裁委员会仲裁规则》第二条的规定,贸仲委受案范围是:

  (一)国际的或涉外的争议;

  (二)涉及香港特别行政区、澳门特别行政区或台湾地区的争议;

  (三)外商投资企业相互之间以及外商投资企业与中国其他法人、自然人及/或经济组织之间的争议;

  (四)涉及中国法人、自然人及/或其他经济组织利用外国的、国际组织的或香港特别行政区、澳门特别行政区、台湾地区的资金、技术或服务进行项目融资、招标投标、工程建筑等活动的争议;

  (五)中华人民共和国法律、行政法规特别规定或特别授权由仲裁委员会受理的争议;

  (六)当事人协议由仲裁委员会仲裁的其它国内争议。

  上述仲裁规则将原来只受理涉外经贸争议调整为国内外经贸争议,扩大了贸仲在国内的服务领域,得到了国内企业界的广泛欢迎。

  根据《中国国际经济贸易仲裁委员会金融争议仲裁规则》第二条的规定,贸仲委受理金融争议的范围是:当事人之间因金融交易发生的或与此有关的争议均可以提交贸仲委仲裁。规则所指金融交易,是指金融机构之间以及金融机构与其他法人和自然人之间在货币市场、资本市场、外汇市场、黄金市场和保险市场上所发生的本外币资金融通、本外币各项金融工具和单据的转让、买卖等金融交易,包括但不限于下列交易:1、贷款;2、存单;3、担保;4、信用证;5、票据;6、基金交易和基金托管;7、债券;8、托收和外汇汇款;9、保理;10、银行间的偿付约定。

  域名争议解决中心,经中国互联网络信息中心(CNNIC)的授权,解决中文域名争议、通用网址争议、.CN域名争议。此外,域名争议解决中心还作为国际通用顶级域名(gTLDs)管理机构美国互联网络名称和数码分配公司( ICANN)授权的国际通用顶级域名争议解决机构—亚洲域名争议解决中心之北京秘书处,负责解决国际通用顶级域名争议。

  4.仲裁员

  贸仲委实行仲裁员名册制度,当事人应在《仲裁员名册》中指定仲裁员。仲裁员均是从法律、经济贸易、科学技术等方面具有专门知识和实际经验的中外人士中聘任的。

  贸仲委《涉外仲裁员名册》拥有仲裁员550名,其中外籍仲裁员183名,适用涉外仲裁案件的当事人选定仲裁员。国内案件一方当事人是外商投资企业的,也可以在该名册中选定外籍仲裁员担任;《国内仲裁员名册》拥有仲裁员368名,适用国内案件当事人选定仲裁员;《金融专业仲裁员名册》仲裁员90名,适用金融案件当事人选定仲裁员;贸仲委还将在近期出台《建设工程与房地产专业仲裁员名册》、《粮食行业争议仲裁员名册》、《证券争议仲裁员名册》和《期货争议仲裁员名册》。贸仲委实行的仲裁员名册制度为当事人提供了一支公正高效的专业仲裁员队伍。

  为了加强仲裁员职业道德规范,贸仲委颁布了《聘任仲裁员规定》、《仲裁员守则》、《仲裁员行为考察规定》和《仲裁员异议通报制度》,对仲裁员在审理案件过程中的行为实施监督,对不合格的仲裁员坚决予以解聘,采取各种措施保证仲裁员廉洁高效地仲裁案件。

  5.仲裁协议

  贸仲委根据当事人之间达成的仲裁协议和一方当事人的书面申请,受理仲裁案件。按照《仲裁法》的规定,有效的仲裁协议应当具有下列内容:(1)请求仲裁的意思表示;(2)仲裁事项;(3)选定的仲裁委员会。当事人在仲裁协议中可以约定适用普通仲裁程序还是简易仲裁程序,仲裁员人数、国籍,开庭地点,仲裁地点,适用法律,及仲裁语文等事项。

  贸仲委在五十年的仲裁实践中以其独立、公正、高效的仲裁享誉全球,并与其他国际仲裁机构保持着长期友好合作关系,先后与20余家国际著名仲裁机构签订了仲裁合作协议,努力扩大在国际仲裁界和经贸界的影响,不断推出符合市场需要的仲裁产品,竭诚为当事人提供高质量的仲裁法律服务。

  Brief Introduction to CIETAC

  China International Economic and Trade Arbitration Commission (CIETAC in brief and hereinafter referred to as the Arbitration Commission, also named as the Court of Arbitration of China Chamber of International Commerce) is a standing arbitral organization to settle contractual and non-contractual disputes by means of arbitration under the guidance of China Chamber of International Commerce/ China Council for the Promotion of International Trade. The commission was approved by Government Administration council of the Central People’s Government of the People’s Republic of China in 1954 and established in Beijing in 1956 which was the only arbitration organization accepting foreign commercial disputes at that time. In 1987, China became a contracting party of Treaty of Acceptance and Performance of Foreign Arbitrament of the United Nations. This important act of China’s government has largely fostered the development of China’s foreign arbitration, integrating China’s foreign arbitrationotniinternational commercial arbitration. At the early period of the development of China’s market economy and under the economic circumstances of furthering of openness, CIETAC takes on promoting foreign trade, attract, encourage, protect foreign investment and settle disputes concerning foreign trade that is an important window of legal service for openness. And with rapid development of arbitration, increasing improvement of international status and growing influence in the world, it has become one of the well-known arbitral organizations in the world.

  CIETAC has accumulated rich experience during 50 years of arbitration practice, continuously making progress with increasing modernization and internationalization. It has ranked ahead among famous arbitration organizations all over the world in terms of number of acceptance of cases since 1990. Before the Arbitration Law cameotniforce in 1995, all cases concerning foreign commercial arbitration were accepted by CIETAC and, after the issue of the law, most of the foreign cases has been still advanced by the parties to CIETAC for arbitrament. In 2000, the Arbitration Commission amended the rules of arbitration; setting out to accept internal commercial disputes, so there has been big increase in internal arbitration case. Until 2003, the Arbitration Commission has accepted and settled over 8000 foreign arbitration cases and almost 1000 internal arbitration cases, the parties of which cover over 40 countries and areas all over the world. The arbitrament of the Arbitration Commission can be accepted and performed in over 140 countries and areas in the world whose justice has been generally recognized.

  Structure and Functions of the Arbitration Commission

  CIETAC operates under the system of forming a commission, which is composed of one Chairman, several Vice-Chairmen and a number of members. There are a Secretary-General and several Vice Secretaries-General. The Chairman performs the functions and duties vested in him by the Arbitration Rules and the Vice-Chairmen may perform the Chairman’s functions and duties with the Chairman’s authorization. Wan Jifei, chairman of China Chamber of International Commerce/ China Council for the Promotion of International Trade, holds a post as chairman of the Arbitration Commission. Doctor Wang Shengchang holds a post as Secretary-General who is in charge of the day-to-day works of the Arbitration Commission.

  CIETAC establishes three special committees. Expert Advisory Committee is in charge of research of key difficult problems in arbitration procedure and entity and providing advice. Case Editing Committee is in charge of editing settled cases. Qualification Assessment Committee is in charge of examination and assessment of qualification and performance, offering suggestions on extending and firing.

  CIETAC has its headquarters in Beijing. The Shenzhen Sub-Commission and Shanghai Sub-Commission were established respectively. They use the same Arbitration Rules and Panel of Arbitrators. The Beijing Headquarters of the Arbitration Commission and its Shenzhen Sub-Commission and its Shanghai Sub-Commission are one institution.

  CIETAC establishes dispute settlement center of domain name and Asia dispute settlement center of domain center in charge of disputes concerning all sorts of domain name.

  Food Dispute Arbitration Center is founded by CIETAC in combination with China Foodstuff Associate and Foodstuff Sub-commission of CIETAC aimed to resolve all disputes in foodstuff industry by means of arbitration.

  CIETAC established five offices respectively in Dalian, Fuzhou, Changsha, Chongqing and Chengdu within local sub-commissions and a liaison office in Beijing Sub-commission all of which are professional arbitration liaison and promotion organizations of CIETAC, providing parties with such services as promotion of arbitration, consultation about procedure and delivering arbitration application.

  The Arbitration Rules were adopted by China Chamber of International Commerce and took effect on Oct 1, 2000. Arbitration Rules of the Arbitration Commission contains 91 articles in five Chapters, i.e.“General Provisions”,“Arbitration Proceedings”,“Summary Procedure”,“Special Provisions for Domestic Arbitration”and“Supplementary Provisions”. The Summary Procedure shall apply to any case in disputeerehwthe amount of the claim totals not more that RMB 500,000 yuan. Any caseerehwthe amount in dispute totals more than RMB 500,000 yuan shall be handled under the Ordinary Procedure. Provided that two parties otherwise have agreement, any case should be handled under Summary Procedure or Ordinary Procedure.

  Parties have agreed to apply other arbitration rules, which can be in use with agreement of CIETAC.

  In May 8th of 2003, Arbitration Rules Concerning Disputes in Finance was issued by CIETAC and took effect which contains 28 articles in four chapters,i.e.“General Provision”,“Arbitration Proceedings”,“Arbitrament”and“Supplementary Provisions”. In accordance with the rules, the parties shall agree to establish arbitration court composed of one or three arbitrators. In the course of arbitration, this court issue procedure act and questionnaire and hold pre-jurisdiction meeting and preliminary court and so on. Arbitrament shall be made within 45 working days since the day of establishing court unless the parties otherwise have agreements or it is really reasonable for the case to be extended. The fee for any case applying to Arbitration Rules Concerning Disputes in Finance is lower by about 50% than that of ordinary arbitration cases.

  Disputes concerning China’s Domain Name apply to“Solutions to Disputes Concerning Domain Name of China Internet Information Center”,“Procedure Rules of Solutions to Disputes Concerning Domain Name of China Internet Information Center and“Supplementary Rules”. General Keyword applies to“Solutions to Disputes concerning General Keyword”and“Procedure Rules of Solutions to Disputes concerning General Keyword”. Disputes concerning gTLDs apply to“Solutions to Disputes concerning General Domain Name”,“Rules of Solutions to Disputes concerning General Domain Name”and“Supplementary Rules”.

  Scope of Accepting Cases

  According to second article of“Arbitration Rules of CIETAC”, CIETAC takes cognizance of cases relating to the disputes:

  (1) international or foreign-related disputes ;

  (2) disputes related to the Hong Kong SAR, Macao SAR or Taiwan regions;

  (3) disputes between the enterprises with foreign investment and disputes between an enterprise with foreign investment and another Chinese legal person, physical person and/or economic organization;

  (4) disputes arising from project financing, invitation for tender, bidding, construction and other activities conducted by Chinese legal persons, physical persons and/or other economic organizations through utilizing the capital, technology or service from foreign countries, international organizations or from the Hong Kong SAR, Macao SAR and Taiwan regions; and/or other economic organizations through utilizing the capital, technology or service from foreign countries, international organizations or from the Hong Kong SAR, Macao SAR and Taiwan regions;

  (5) disputes that may be taken cognizance of by the Arbitration Commission in accordance with special provisions of or upon special authorization from the law or administrative regulations of the people’s Republic of China, and;

  (6) other domestic disputes parties agree to arbitrated by the Arbitration Commission

  The above rules of arbitration extends CIETAC’s scope of accepting cases from original foreign commercial disputesotniinternal commercial disputes, expanding service in mainland, which is extensively welcomed by enterprise circle in China.

  In line with second article of“Arbitration Rules of Finance Disputes of CIETAC”, scope of accepting financial disputes of CIETAC includes: disputes arising from financial transactions or disputes concerned shall be submitted by the parties to CIETAC for arbitration. Financial transaction referred in rules is such transactions as financing of one’s own country’s money and foreign money, transference and transaction of all types of financial tools and documents concerning one’s own country’s money and foreign money between financial institutions or between financial institutions and other legal entities and natural persons in money market, capital market, exchange market, gold market and insurance market. These transactions include but are not limited to the following ones: 1. loaning 2.depositing receipt 3. confirming 4. letter of credit 5. documents 6. fund transaction and trust 7. bond 8. collection and remittance of foreign exchange 9. assurance management 10. reimbursement agreement between banks.

  Dispute Settlement Center of Domain Name is authorized by CNNIC to resolve disputes concerning Chinese domain name, Keywords and CN domain name. In addition, this center serves as Beijing secretary of Asia Dispute Settlement Center of Domain Name, dispute settlement organization concerning gTLDs authorized by ICANN, management institution of gTLDs, which is in charge of solve disputes concerning gTLDs.

  Arbitrator

  The Arbitration Commission applies arbitrator personage system. The arbitrators are selected and appointed from Arbitrator Book with special knowledge and practical experience in trade and economics, science and technology, law and other fields at home and abroad.

  Arbitrator in Foreign Affairs Book of CIETAC has 550 arbitrators including 183 foreign arbitrators whom parties in foreign arbitration cases can appoint. Provided that one of the parties in internal case is foreign-funded companies can select and appoint foreign arbitrators in this book. And Internal Arbitrator Book has 386 arbitrators whom the parties in internal case can select and appoint. Finance Professional Arbitrator Book had 90 arbitrators whom the parties in financial case can select and appoint. Recently CIETAC will issue Arbitrator of Construction and Real Estate Book, Arbitrator in Foodstuff Disputes Book, Arbitrator in Security Disputes Book and Arbitrator in Future Disputes Book. Arbitrator book system in CIETAC will provide the parties with a team of fair and high-efficient professional arbitrators.

  In pursuant to strengthen the ethical regulations of arbitrators, CIETAC has issued Regulations of Hiring Arbitrators, Rules of Arbitrators, Regulations concerning Assessment of Arbitrators’Behavior and Notification System of Disagreement on Arbitrators to supervise arbitrator during the course of cognizance, insist on firing unqualified arbitrators and take all kinds of measures to ensure arbitrators to settle cases with probity and efficiency.

  Arbitration Agreement

  CIETAC takes cognizance of a case in accordance with an arbitration agreement between the parties to refer their dispute to CIETAC for arbitration and upon the written application by one of the parties.

  According to the Arbitration Law, a valid arbitration agreement must contain the following contents: (1) the intention to submit the dispute for arbitration, (2) affair for arbitration, (3) appointed arbitration committee. The parties may choose to stipulate in their arbitration clause (arbitration agreement) the number and nationality of arbitrators, the venue of the hearing, the application of Ordinary Procedure or Summary Procedure, the applicable law, the language of arbitration and etc.

  CIETAC enjoys a wide reputation domestically and internationally for its independence, impartiality, efficiency and expeditiousness in handling cases during fifty years of arbitration practice and keeps friend cooperation with other international arbitration organizations. CIETAC has signed agreement on arbitration cooperation with over 20 international famous arbitration organizations in succession. CIETAC is devoted to expand its influence on international law circles and commercial circles and continue to introduce arbitration products in line with market needs, providing the parties with high-quality service with heart.
